Terms of Service

These Terms govern your use of SmartPlate, operated by 410 LLC (“SmartPlate”, “we”, “us”). By creating an account or using SmartPlate, you agree to these Terms and to our Privacy Policy. You must be at least 13 years old and able to form a binding contract.
1. The service
SmartPlate is an agent-first system of record for your household’s food life — recipes, meal plans, shopping lists, and ratings — that you and an AI agent you authorize can read and write.
2. Membership, free trial, and billing
Plan & price. SmartPlate membership costs $3.00 USD per month, exclusive of any applicable taxes.
Free trial. New accounts include a 14-day free trial. No payment card is required to start. We may limit trials to one per person/household and modify or end trial offers at any time.
Auto-renewing subscription. When you subscribe, your membership automatically renews every month and your payment method is charged $3.00 (plus tax) each month until you cancel. Renewal continues at the then-current price.
How to cancel. You can cancel anytime from Account → Membership → Manage billing. Cancellation stops future renewals; you keep access until the end of the period you’ve already paid for.
Refunds. Payments are non-refundable except where required by law.
Price changes. We’ll give you at least 30 days’ notice before any price increase takes effect. If you don’t accept, you may cancel before the change takes effect.
Failed payments. If a charge fails, we may retry and may suspend the owner’s paid features until payment succeeds. The meal owner pays; family vote is free; lapse is read-only for the owner, not a dead vote link. A household member using a vote link is never charged.
Payment processor. Payments are processed by Stripe; we don’t store your full card details. Your use of payment features is also subject to Stripe’s terms.
3. What's gated, and what stays open
A current membership (or active trial) is required to add or change your food life — saving and editing recipes, planning meals, building shopping lists, setting preferences, and connecting an agent. Public browsing and discovery remain available. The meal owner pays. Family vote is free. If the owner lapses, their account is read-only. The family vote link stays alive. We do not charge the spouse or another voter. We may change which features are included in membership with reasonable notice.
4. Public contributions
SmartPlate has no private recipes. Everything you add or contribute — recipes, edits, ratings, and reviews (“Contributions”) — is public and discoverable by other people and by AI agents. Do not submit anything confidential, private, or that you don’t have the right to share.
Attribution. Your Contributions are attributed to the account identifier (handle) you choose; you may use a pseudonymous handle.
License you grant. You keep ownership of your Contributions. You grant SmartPlate and other users and their agents a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt (e.g., normalize/canonicalize) your Contributions to operate and improve the service. Because Contributions are public and may be saved or built upon by others, we may be unable to fully remove already-shared content after deletion.
Your responsibility. You represent that you have the rights to your Contributions and that they don’t infringe anyone’s rights or violate law.
5. AI agents and API access
You may authorize an AI Agent to act on your behalf. The door is /connect-agent — sign in first. A scoped token may exist as optional; it is not the cold path. You are responsible for your agent’s actions. You can revoke access at any time. Agents bring their own AI costs; membership doesn’t include third-party AI fees.
6. Acceptable use
Don’t: break the law; infringe intellectual-property or privacy rights; upload harmful or unsafe content; scrape, overload, or attack the service; resell or misrepresent it; or submit content that is dangerous if relied upon (for example, unsafe food-safety claims). We may remove Contributions or suspend accounts that violate these Terms.
Copyright. If you believe content on SmartPlate infringes your copyright, our Copyright & DMCA Policy explains the notice-and-takedown process, how to reach our designated Copyright Agent, the counter-notice procedure, and our repeat-infringer policy. We remove or disable material in response to valid notices and may terminate the accounts of repeat infringers.
7. Termination
You may stop using SmartPlate and delete your account at any time. We may suspend or terminate access for breach of these Terms or to comply with law, with notice where practicable. On termination, your right to use the service ends; already-public Contributions may persist as described in Section 4.
8. Disclaimers
SmartPlate is provided “as is.” Recipes, nutritional or dietary information, and agent output are user- or AI-generated and may be inaccurate; verify anything important, especially regarding allergies, food safety, and health. To the extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, SmartPlate isn’t liable for indirect, incidental, special, or consequential damages, and our total liability is limited to the greater of the amounts you paid us in the prior 12 months or $50.
10. Changes to these Terms
We may update these Terms. For material changes (including to billing), we’ll give at least 30 days’ notice via email or in-app. Continued use after the effective date means you accept the updated Terms; if you don’t agree, cancel before they take effect.
11. Governing law
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Washington State for any dispute not otherwise resolved.
